Terms & Conditions Of Cityami Airbnb Management Services

These Terms and Conditions ("Terms") govern the use of the marketing services provided by Cityami ("Company," "we," "us," or "our"). By engaging our services, you ("Client" or "you") agree to be bound by these Terms. If you do not agree, please do not use our services.

Cityami is a Delaware corporation that specializes in marketing short-term rental properties. We do not provide property management services, including but not limited to guest communications, maintenance, cleaning, or compliance oversight. Clients are responsible for ensuring their property meets all legal and regulatory requirements.

1. Scope of Services

1.1 Marketing Services: Our services are limited to marketing and advertising short-term rental properties on third-party platforms, including but not limited to Airbnb, VRBO, and Booking.com. We do not operate as a property manager or host and are not responsible for guest interactions, check-ins, maintenance, or any operational aspects of the rental.

1.2 No Guarantee of Bookings: We do not guarantee occupancy rates, revenue, or guest bookings. Performance is subject to market demand, platform algorithms, and other external factors.

1.3 Third-Party Platforms: By utilizing our services, you acknowledge and agree to comply with the terms and conditions of third-party booking platforms. Any disputes arising from bookings or guest interactions must be handled directly with the respective platform.

2. Client Responsibilities

2.1 Property Compliance: You are solely responsible for ensuring compliance with all applicable laws, zoning regulations, homeowners’ association rules, tax obligations, and short-term rental permits.

2.2 Accuracy of Information: You must provide accurate and up-to-date property information, including photos, pricing, descriptions, and availability. We are not responsible for any misrepresentations or legal issues arising from inaccurate listings.

2.3 Insurance: You are responsible for obtaining appropriate insurance coverage for your rental property, including liability and damage coverage.

3. Fees and Payments

3.1 Marketing Fees: Our fees are outlined in your individual management contract. All payments are due as specified in the contract.

3.2 No Refunds: All payments made for marketing services are non-refundable unless explicitly stated in the management contract.

3.3 Third-Party Fees: Any fees associated with third-party booking platforms, such as Airbnb host fees, are to be subtracted from the earnings payout.

4. Liability & Disclaimers

4.1 Limitation of Liability: To the fullest extent permitted by law, we are not liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use of our services, including but not limited to lost revenue, guest disputes, or platform restrictions.

4.2 Indemnification: You agree to indemnify and hold us harmless from any claims, losses, liabilities, or expenses (including legal fees) arising from your use of our services, your rental operations, or your failure to comply with applicable laws.

4.3 No Warranty: We provide our services on an "as-is" basis without warranties of any kind, express or implied.

5. Termination

5.1 Termination by Either Party: Either party may terminate services as per the terms outlined in the individual management contract.

5.2 Effect of Termination: Upon termination, we will remove any marketing materials related to your property but are not responsible for deactivating listings on third-party platforms.

6. Governing Law & Dispute Resolution

6.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

6.2 Dispute Resolution: Any disputes shall be resolved through arbitration in Delaware in accordance with the rules of the American Arbitration Association.

7. Amendments & Updates

We reserve the right to update these Terms at any time. Any changes will be effective upon posting the updated Terms on our website. Your continued use of our services constitutes acceptance of the revised Terms.
